Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you (whether individually as an educator, tutor, learner, parent, or educational institution) and Bokano Tech (Pty) Ltd (trading as TutorApp), registration number 2026/649274/07 ("we", "us", or "our"), governing your access to and use of the TutorApp platform and related services.
By accessing or using TutorApp, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the platform.
1. The Platform & Services
TutorApp provides a cloud-based learning management, assessment, and tutoring operations platform designed for educators, tutoring centres, and learners in South Africa. Key capabilities include class and cohort administration, assignment and quiz authoring, live video sessions, automated performance diagnostics, parent progress reporting, and invoicing tools.
2. Eligibility & Account Responsibilities
- Educators & Tutors: Tutor accounts are subject to administrative review and verification prior to activation. You agree to provide accurate, up-to-date credentials and maintain the accuracy of your profile.
- Minors & Learners: Learners under the age of 18 must have the consent of a parent or legal guardian in accordance with Section 35 of the Protection of Personal Information Act, 2013 (POPIA) before participating in tutoring cohorts.
- Account Security: You are solely responsible for maintaining the confidentiality of your authentication credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach.
- Account Closure: You may close your account at any time via Settings → Account & Profile. The treatment and retention of associated data upon closure is governed by our Privacy Policy.
3. Subscriptions, Fees & Invoicing
- Platform Access: TutorApp may offer tiered subscription plans, promotional early access, or feature-specific add-ons. Current pricing and terms will be clearly communicated prior to any fee obligation.
- Direct Tutor-Payer Billing: Where educators utilize TutorApp's billing features to invoice parents or learners directly:
- TutorApp operates as a technical software platform and mark book tool. Invoices generated through the platform are issued by the educator in their own capacity.
- TutorApp is not a supplier of record for tutoring services rendered by educators to learners, does not intermediate client funds, and does not provide financial or tax advice. Educators are solely responsible for their own tax obligations (including VAT registration where applicable under South African tax law).
4. Artificial Intelligence & Educational Tools Disclaimer
TutorApp integrates automated artificial intelligence and algorithmic models to assist educators in quiz generation, grading open-ended assignments, generating lesson plans, and synthesizing student diagnostic summaries.
- Assistive Nature of AI: All AI-generated suggestions, marks, rubrics, diagnostics, and summaries are provided as pedagogical drafting aids and decision-support tools.
- Educator Professional Oversight: Educators retain full responsibility for verifying, reviewing, editing, and approving any AI-generated content or grades before they are communicated to learners or parents.
- No Warranty on AI Accuracy: We do not warrant that AI-generated suggestions will be completely error-free or suitable for formal national examination grading without teacher moderation.
5. Intellectual Property & User Content
- Your Content: Educators and learners retain all intellectual property rights in and to the teaching materials, lesson plans, assignments, documents, and student submissions uploaded or authored on TutorApp.
- License to Host: You grant Bokano Tech (Pty) Ltd a non-exclusive, worldwide, royalty-free license solely to host, process, store, transmit, and display your content to the extent necessary to deliver the platform services to you and your authorized cohort participants.
- Platform IP: All platform software, user interfaces, branding, proprietary algorithms, and documentation are the exclusive intellectual property of Bokano Tech (Pty) Ltd and its licensors.
6. Acceptable Use & Conduct
You agree not to use TutorApp to:
- Upload, post, or transmit any material that infringes any third-party intellectual property or privacy rights;
- Upload unlawful, harmful, abusive, harassing, defamatory, or obscene content;
- Attempt to circumvent platform security barriers, reverse-engineer source code, access unauthorized multi-tenant accounts, or deploy automated scrapers/bots;
- Interfere with or disrupt the integrity, performance, or availability of our servers and networks.
7. Warranties, Limitation of Liability & Indemnity
- "As Is" Provision: The platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular educational purpose, or uninterrupted availability.
- Limitation of Liability: To the maximum extent permitted by South African law (including the Consumer Protection Act, 2008):
- Bokano Tech (Pty) Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or educational opportunities resulting from your use of or inability to use the platform.
- Our total cumulative liability arising from or related to the platform shall not exceed the total fees paid by you to TutorApp in the twelve (12) months preceding the claim.
- Indemnity: You agree to indemnify and hold harmless Bokano Tech (Pty) Ltd and its officers against any third-party claims, damages, liabilities, and legal costs arising from your breach of these Terms or your unlawful use of the platform.
8. Governing Law & Dispute Resolution
These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of South Africa. Any legal action, proceeding, or dispute arising under or in connection with these Terms shall be instituted exclusively in the courts of South Africa, and the parties hereby consent to the non-exclusive jurisdiction of the High Court of South Africa (Western Cape Division or Gauteng Division) and relevant Magistrate's Courts.
9. General Provisions & Contact
- Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed without affecting the validity of the remaining provisions.
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Bokano Tech (Pty) Ltd regarding TutorApp.
